CONSTITUTION OF ACYUF NGO: >>>>>>>

EXECUTIVE COUNCIL MEMBERS
i). The director / founder is the brain behind ACYUF Foundation, ultimate beneficiary owner, majority shareholder, chairman of the executive council member's, final decision maker, mandatory signature of the organization, certificate, Bank and other document.

ii). The chairman or in his Absence the vice chairman of the organization shall preside as a chairman for the executive council members.

iii). The executive council shall cause proper books of Account to be kept and an income and expenditure account and balance sheet to be prepared, Audited and circulated in Accordance with Section 123 of the code.

iv). the executive council shall employ Auditors, qualified in Accordance with Section 296 of the code, and their duties Regulated in Accordance with Section 134 to 136 of the Code

v). The executive council member's not less than 2 and more than 10 or more depending on their contributions and dedications towards the objects set forth in the immediate proceedings in the formal constitution of the memorandum of incorperation.

vi). No member of the executive council is entitled to any fees of the paid by offices but rather receives remunerations or allowances as it a voluntary work.

vii). Persons Referred to in Section 182 of the code shall not be competent to be appointed members of the executive Council eg. ex-convicts, and people with bad Criminal Records.

viii). The executive council has the right to appoint, elect, executive council members, a board member by way of choosen or by way of ballot or voting.

viiii). Minutes of the general meetings shall be kept in accordance with Section 177 of the code.

x). The liabilities of the executive council member's are limited and the powers of the executive council members is in accordance win section 202 of the code

xi). Executive council members may contribute more than that of an ordinary member or a subscriber, and that of the board members.

xii). Members of the executive council shall be vacated in accordance with section 184 of the code and any may be removed from the executive council in Accordance with section 185 of the code.

BOARD MEMBER'S
Board members are members that make decisions of the organization with the executive Council members and their contributions towards the objects of the said organization which includes, cash, Assets, time, volunteerism, and subscriptions or dues, and Intellectual advice and consultations.

The directors or the executive council. can choose, or appoint a board member based on his or her contributions, intelligence towards the objects of the organization or in the opinion of the executive council has rendered signal services to the organization or to any of the objects on which the organization was formed can become a board member. There is a criteria or prescribe qualification for Board members and the minimum is J.S.S / BECE graduates.

ORDINARY MEMBERS
An ordinary member is anyone who wishes to become a member of the organization or have interest in the objects, visions, mission and the day to day Activities of the said organization and willing to support the Activities, by paying subscriptions or dues and any other contributions that will keep the organization going like rendering services to promote the organization.

VOLUNTEERISM / VOLUNTEERS
Volunteers can also be describe as an ordinary members and their, contributions towards the  organization and day to day activities. Is about the love, passion, mission, vision and the objects on which the said organization was formed.

These are people who has volunteer their time, energy, resources, knowledge towards the promotion of the said organization and are doing it out of their own free will as their contributions to the organization, humanity, and the nation at a whole. These volunteers are sometimes being trained, transformed and taught how to serve humanity.

RESIGNATION OF EXECUTIVES, BOARD MEMBERS
Any member of the organization may or can resign or be excluded officially by writing a letter addressing to the execute council members stating his or her resignation and maybe his/her reasons except for volunteers and an ordinary member.

SUBSCRIPTIONS, MONTLY DUES
Subscriptions, or dues are what members or subscribers and friends of the organization pay monthly, or Annually to support the day to day Activities as the organization is a non-profit organization. Our organization is a subscription and membership based organization. Subscriptions may vary from the executive council members, Board members, Ordinary members and to that of foreign nationals.

ACCOUNTS AND AUDIT
The executive Council shall cause proper books of accounts to be kept and an Income and expenditure account and Balance sheet to be prepared, audited and circulated in accordance with section 123 to 133 of the code which is mandatory.

GENERAL MEETING AND RESOLUTION
The executive council members, may call for a general meeting periodically, monthly in accordance with Section 149 of the code. Notice of general meetings shall be given in accordance with Sector 152 to159 of the code and accompanied by a written document, or orally announced to the organization by What we call in Business management as grapevine or tell a friend to tell a friend.

The Chairman or in his Absence the vice Chairman of the organization, shall preside as the chairman at every general meeting but if they are all not present at the time the meeting is about to be start then member's present should choose one of them to chair the meeting. Minutes of the General meetings should be written down and kept by the secretary of the organization in accordance with Section 177 of the code. Each member of the organization under takes to contribute to the Assets of the organization, in the event of its being wound up, while he is a member or within one year after he ceases to be a member for payment of debts and liabilities of the organization and of the costs of winding up such amount as may be required not exceeding one thousand cedis.

If upon the winding up or dissolution of the organization there remains after the discharge of its debts and liabilities, any property of the organization, the same shall not be distributed among the members but shall be transferred to some other company limited by guarantee having objects similar to the objects of the organization or applied to some charitable objects, such other company or charity to be determined by ordinary resolution of the member's in general meeting prior to the dissolution of the organization.

POWERS AND DUTIES OF THE EXECUTIVE COUNCIL
The activities of the organization shall be manage by the executive council who may pay all expenses incurred in promotion and registering the organization. Subject to section 202 of the code, the executive council may exercise all such power's of the organization, including powers to borrow money and to mortgage or charge its property. In any transaction with the organization or in its behalf and in the exercise of their powers the members of the executive council shall observe the duties and obligations imposed on them by section 203 of the code.

To the extent permitted by regulations (3) of these regulations and subjects to compliance section 207 of the code, a member of the executive council may enter into an agreement or contract with the organization and such contract or any other contract of the organization in which any member of the executive council is in any interested shall not be liable to be avoided, nor shall any member of the executive council be liable to account for any profit made thereby reason of his being a member of the executive councilor of the fiduciary relationship thereby established.

CHAIRMAN AND VICE CHAIRMAN
This office is strictly by appointment or by offer from the owner's of the organization as the chairman Is the ultimate beneficiary owner, he has the veto power, right and power of attorney to appoint or choose the Chairman and the Vice Chairman as the idea behind the organization is the intellectual property of the founder, MR. DERICK DARKWAH.

SECERTARY AND TREASURE AND OFFICERS
The executive Council shall appoint a secretary and a treasure or a secretary treasurer who may be one of our own members or a member of the organization or neither. If our own member is appointed, the office shall be an honorary one without remuneration. The executive council may also appoint such other officer's, volunteers, agents, as may necessary or expedient.

THE SEAL / STAMP
The executive Council members shall be empowered to adopt a common seal or stamp for use by the executive and shall provide for safe custody thereof.

The seal or stamp shall only be used by the authority of the executive council authorized by the executive council in that behalf, and every instrument to which the seal or stamp shall be affixed, shall be signed by a member of the executive council that is the director or chairman or the secretary or any other person appointed by the executive council for purpose.
